With the implementation of the Companies and Other Business Entities Act (COBE) in 2019, all companies in Zimbabwe that were registered before April 2024 are now required to re-register to comply with the updated legal framework. The COBE was introduced to modernize Zimbabwe’s corporate laws, replacing the previous Companies Act. Companies registered under the former legislation must re-register to conform to the new statutory requirements. - Sole Traders registered as business entities
To successfully re-register, companies must provide the following:

  1. Original company documents

  2. Copies of identification for all directors and shareholders

  3. Email addresses and mobile phone numbers for each director/shareholder

  4. Most recent annual return (must be up to date) – Please note, annual returns are separate from tax returns.

Under normal circumstances, the re-registration process can be completed within 24 hours. However, if additional updates to your company’s records are required prior to re-registration, the process may take an additional 2 to 3 days to finalize.
